Terms of Service

1. Agreement to these Terms
These Terms of Service ("Terms") govern access to and use of the Human-Capital.ai platform, including the coach portal, client portal, HR portal, and related services (together, the "Service"), operated by Admired Leadership Asia Pte. Ltd., 137 Telok Ayer Street, #08-01, Singapore 068602 ("HCA", "we", "us").
By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of an organisation, you confirm you have authority to bind that organisation, and "you" includes it.
Where your organisation has a separate written agreement with HCA (for example a coaching services agreement or partnership agreement), that agreement prevails over these Terms to the extent of any conflict.
2. The Service
HCA provides a business-to-business executive coaching platform. Depending on your role, the Service enables:
- Coaches: session management, optional real-time transcription, AI-generated session summaries, private development feedback, a curated content library, and client management using alias-based identity protection
- Coachees: access to session summaries, goals and agreed actions, reflections, and practice tools
- HR users: anonymised, aggregate programme reporting only, as described in our Privacy Policy
The Service is designed for working professionals and is not available to anyone under 18.
3. Accounts and access
Access to the Service is by invitation or organisational access code. You are responsible for keeping your credentials confidential and for activity under your account. Notify us promptly at support@human-capital.ai of any suspected unauthorised access.
You agree to provide accurate account information and keep it current.
4. Coaching relationship — important boundaries
- Coaches on the platform are independent professionals, not employees or agents of HCA. The coaching relationship is between coach and coachee (and, where applicable, the sponsoring organisation).
- Coaching is not therapy, counselling, medical, legal, or financial advice. The Service does not provide crisis support. If you need urgent help, contact local emergency services or an appropriate professional.
- AI-generated content on the platform (summaries, feedback, suggested resources) supports the coaching process. It may contain errors and must be reviewed by the coach before being relied on. Professional judgment always sits with the humans in the relationship.
5. Transcription and consent
Session transcription is optional and requires the agreement of the participants in each session. Audio is never stored; transcripts are permanently deleted after the session summary is generated, as described in our Privacy Policy. Coaching without transcription is fully supported.
If you connect the Service to Google Meet or Microsoft Teams, you confirm you have the right to do so under your organisation's policies, and you are responsible for informing session participants that transcription is in use. The platform provides a notification form for this purpose.
6. Acceptable use
You agree not to:
- Use the Service to harass, harm, or defame anyone
- Attempt to identify a coachee from aliased or aggregated data, or to circumvent the platform's confidentiality architecture
- Access or attempt to access another user's data, or probe, scan, or test the vulnerability of the Service
- Upload malicious code, or content you do not have the right to share
- Scrape, copy, resell, or provide access to the Service to third parties without our written agreement
- Use the Service to build a competing product
- Use the Service in breach of applicable law, including data protection and export laws
We may suspend or terminate access for breach of these Terms, with notice where practicable.
7. Content and intellectual property
Your content. Coaches and coachees retain ownership of the content they create or upload (notes, reflections, library materials, profile content). You grant HCA a licence to host and process that content solely to provide the Service, consistent with our Privacy Policy.
Coach profiles. Coach directory profiles are published only with the coach's explicit approval and can be withdrawn on request.
Our platform. HCA retains all rights in the Service, its software, design, and curated content library. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service for its intended purpose during your engagement.
Feedback. If you give us suggestions about the Service, we may use them without obligation to you.
8. Confidentiality
The Service is built around session confidentiality, as described in our Privacy Policy. Users with access to another person's information through the Service (for example, coaches and HR users) must treat it as confidential, use it only for the coaching programme, and not disclose it except as permitted by the platform's design or required by law.
9. Fees
Fees for coaching engagements and platform use are set out in the applicable agreement between HCA and the client organisation or coach. These Terms do not themselves create payment obligations.
10. Availability and changes
We aim for high availability but do not guarantee the Service will be uninterrupted or error-free. We may modify, add, or remove features, and will give reasonable notice of material changes that reduce core functionality. We may update these Terms; continued use after notice of changes constitutes acceptance.
11. Disclaimers
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We do not warrant the accuracy of AI-generated content, or outcomes from any coaching engagement.
12. Limitation of liability
To the maximum extent permitted by law:
- HCA is not liable for indirect, incidental, special, consequential, or punitive damages, or loss of profits, revenue, data, or goodwill
- HCA's total aggregate liability arising out of or relating to the Service is limited to the fees paid to HCA for the Service in the twelve (12) months preceding the event giving rise to the claim, or SGD 1,000 if no fees were paid
- Nothing in these Terms excludes liability that cannot be excluded by law, including for fraud or for death or personal injury caused by negligence
13. Indemnity
If you are an organisational user, you will indemnify HCA against third-party claims arising from your breach of these Terms or misuse of the Service, to the extent permitted by law.
14. Termination
You may stop using the Service at any time; organisational access ends per the applicable agreement. On termination, data is retained and deleted per the retention periods in our Privacy Policy (summaries and account data: 12 months after the engagement or account ends, then deleted; transcripts are never retained).
Sections 7, 8, 11, 12, 13, and 15 survive termination.
15. Governing law and disputes
These Terms are governed by the laws of Singapore. Disputes will be subject to the exclusive jurisdiction of the courts of Singapore, save that either party may seek injunctive relief in any competent court to protect confidential information or intellectual property.
16. General
These Terms, together with the Privacy Policy and any applicable written agreement, are the entire agreement between you and HCA regarding the Service. If any provision is unenforceable, the remainder stays in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them to an affiliate or successor entity.
